Terms of service
The short version
- Hultin & Co is a sole proprietorship. We make short videos, automations and websites for small businesses.
- Before paid work starts, you sign a client agreement. If it says something different from this page, the signed agreement wins.
- Payments go through Stripe. Monthly fees are charged automatically until you cancel with 30 days' notice.
- Once you've paid in full for work we made for you, it's yours. Our own tools stay ours.
- We work with professional care, but we don't promise views, leads or sales.
- New Jersey law applies.
Who we are
Hultin & Co is a sole proprietorship. That means it's one person's business, run under the Hultin & Co name, not a separate company. We work with small businesses in New Jersey and Massachusetts.
If we later form a company to run the business, we may move your agreement to it. We'll tell you in writing if we do.
These terms and your agreement
This page covers your use of this website and explains, in short, how we work with clients. It isn't the full contract.
Before any paid work starts, you and we sign a client agreement. It lists your services, prices, timeline and any minimum term. If your signed agreement says something different from this page, the signed agreement wins.
We sign agreements electronically. An electronic signature counts the same as a handwritten one. We email the signed PDF to both of us, and we send notices, invoices and records by email.
Changes to a signed agreement must be in writing and signed by both of us. Extra work and approvals can be agreed by email, or by text from the person named in your agreement to approve work.
What we sell
We sell to businesses. Our services aren't for personal or household use. They are:
- Short-form social video plans, billed monthly, with on-site filming as an add-on
- An AI phone assistant, and missed-call text-back
- Custom automation
- Websites: a one-time build, then yearly hosting or a monthly Site care plan, with an optional owner editor
- Google Business Profile management
- A brand kit
Prices and extra work
Prices are on our services list and video plans page, in US dollars. They don't include sales tax. If tax applies, we add it to the invoice. The price you pay, and any discount or launch price, is the one written in your agreement.
Your agreement says what's included. Anything beyond that is extra work. We send you its price in writing first, and nothing extra is billed unless you approve it in writing.
Paying
Payments go through our payment processor, Stripe, by card or US bank transfer (ACH), using the payment link we send. We don't take cash or payment apps.
- Website build: half when you sign, half before the site goes live.
- Start-up and setup fees: in full when you sign.
- Monthly fees: the first month when you sign (or on your start date, if later). After that, they're charged automatically on the same day each month to the card or bank account you keep on file with Stripe. Site care starts the day your site goes live. AI automation starts when it goes live, or 30 days after signing if we're waiting on you.
- Yearly hosting: charged automatically once a year, starting the day your site goes live. Here's how it renews.
- Anything else, such as extra work you've approved: we email an invoice first and charge it no sooner than 7 days later, unless you question it.
Automatic payments
By signing your agreement, you let us charge these fees through Stripe when they're due. Please keep a valid payment method on file. You can change it any time through the link we send.
If a payment is late, we may pause the work until it's paid, after telling you by email. Your agreement says when that can happen and what else applies to overdue amounts.
Price changes and switching plans
Prices stay fixed for any minimum term in your agreement. After that, we may change them with 30 days' written notice, and you can cancel before the change takes effect.
You can move up to a bigger plan at any time, starting from your next payment date. Moving down takes effect at your next payment date after any minimum term.
For refunds, cancelling and what happens when a service ends, see Refunds and cancelling.
Your part
- Send us the content, access and answers the work needs, on time. Delays on your side move our timelines by at least as long.
- When we send work for approval, please reply within 5 business days. If we hear nothing after one reminder and 5 more business days, it counts as approved. Social video batches have a shorter window: 2 business days, then the batch goes out on schedule. Scripts for an AI twin are never approved by silence. Each one needs a written OK.
- Everything you send us must be yours to use, or used with permission. That includes photos, footage, music, logos, and the faces and voices of anyone shown, such as staff and customers. Get written permission from anyone who appears in your content, and from a parent or guardian for anyone under 18. We have an appearance release form you can use.
- Facts you give us must be true, such as prices, offers, licenses, credentials, results and reviews. You're responsible for the claims your business makes. We'll flag anything that looks risky and may refuse a request we believe breaks advertising rules, but we aren't your lawyer.
Who owns what
- Your materials stay yours. We use them only to do your work, while your agreement lasts.
- Work we make for you becomes yours once you've paid for it in full. That covers website design and content, videos, scripts, captions, and the approved answers we write for your AI assistant. Until then, you can use it while your payments are up to date.
- Our tools stay ours. Our software, code, templates, prompts, workflows and know-how stay ours. Where any of it is built into what we deliver, you get a permanent license to use it for your business, but you can't resell it. The owner editor and the phone assistant's software are our tools, so they don't come with your files if you leave.
- Your accounts are yours. That includes your social accounts, ad accounts, domain name, Google Business Profile and phone numbers, even ones we set up for you. Where a platform allows it, you give us partner or manager access instead of your password. We never hold the only admin access.
- Outside parts, such as fonts, stock media, plugins, music and AI services, come under their own license terms. We only use ones that allow commercial use for your business.
- AI-made material. Under current US copyright law, material made by AI without enough human authorship may not be protected by copyright. We transfer whatever rights we hold, but we can't promise you'll hold a copyright in AI-generated parts. If you ask, we'll tell you which parts were AI-generated.
- Our portfolio. We may show finished, published work in our portfolio and name you as a client, unless you tell us in writing not to. We won't publish your private numbers without your OK. Work showing a person's face or voice, including an AI twin, goes in our portfolio only with that person's written OK.
How we use AI tools
- We use AI tools to draft, edit and make content, and to run automations. A person on our team reviews AI-made content before it's published.
- The exception is the phone assistant's live replies to calls and texts. It writes them in the moment, so we can't check each one first, and it can make mistakes. It answers only from information you approved and passes everything else to you. It tells callers and texters at the start that they're talking to an AI assistant.
- The assistant isn't for emergencies, or for medical, legal or financial advice. If a caller describes an emergency, it tells them to call 911 and alerts you at once.
- We never write or post fake reviews, invent customers or testimonials, or buy followers or views.
- We never make an AI twin, AI voice or other AI copy of a real person without that person's signed release. They can withdraw consent at any time. Here's what happens then.
- We label realistic AI-made content as AI-made, as platform rules and the law require. Please don't remove those labels.
- We only use business-grade AI services. Where a service lets us, we switch off use of your information for training its models. We never type card numbers, health records or passwords into AI tools. Our privacy page has more on how we handle your data.
What we promise, and what we don't
We do the work with professional care and skill, as your agreement describes. If something we deliver doesn't match what your agreement describes, tell us within 30 days and we'll fix it at no charge. That fix is the main remedy for faulty work.
We don't control search engines, social media algorithms or your customers. So we don't promise any number of views, followers, leads, rankings, calls or sales.
Instagram, TikTok, Google, Stripe, hosting companies and AI services can change their rules, prices or features. They can also remove content or suspend accounts. We aren't responsible for what they do, but we'll help you respond. If a change means a service can't continue as described, we'll propose a fix. Either of us may then end that service with 30 days' notice.
Apart from the promises written in your agreement, we make no other promises about our work, stated or implied, as far as the law allows.
Limits on liability
Your agreement limits what either of us can claim from the other. In short:
- Neither of us is liable to the other for lost profits, lost revenue, lost business, or indirect, special or consequential damages, even if warned they were possible.
- The most either of us can owe the other under the agreement is the fees you paid us under it in the 12 months before the event that caused the claim.
- These limits don't apply to amounts you owe us, to the promises to cover each other below, or to fraud, gross negligence, recklessness or willful misconduct.
- You cover us against claims by others that come from the materials you gave us, the claims your business makes, your products or services, content we published at your instruction, the contact lists and consent records you give us, or calls and texts sent at your instruction.
- We cover you against claims that content our team made for you copies someone else's work. That doesn't include your materials, outside parts or AI-generated material.
- The side being covered must tell the other side promptly and let it handle the defense.
Ending an agreement
Monthly services continue month to month after any minimum term, until either of us gives 30 days' written notice. Email is fine. Refunds and cancelling has the details, including what's due if you stop during a minimum term.
Either of us may end the agreement, or one service, if the other seriously breaks it and doesn't fix the problem within 15 days of written notice. For a missed payment, the time to fix it is 10 days. We may also end it at once if you ask us to do something we reasonably believe is illegal or deceptive.
Disputes and the law
New Jersey law governs these terms. If a dispute comes up, we'll first try to settle it by talking in good faith for 30 days. Your signed agreement says which courts can hear a dispute after that, and which law governs the agreement itself.
Using this website
This website is general information about what we do. Prices, plans and examples on it can change. What you pay is what your signed agreement says.
The site links to other sites, such as TikTok and Instagram. Their own terms and privacy policies apply there. Our privacy page explains what this site collects, which is very little.
Changes to this page
We may update these terms. The date at the top shows when they last changed. Changing this page doesn't change an agreement you've already signed.
